Terms of sale

1. General

These terms of sale apply to all orders of products and services from Universe Profile AS (org. no. 929 413 318), with registered address Ustadhagan 4, 3490 Klokkarstua, Asker, Norway. By placing an order you accept these terms in full.

2. Formation of contract

A binding agreement is formed when Universe Profile AS has confirmed the order in writing by email. The order confirmation contains details of products, quantities, price and estimated delivery time. Any changes after the order confirmation must be agreed in writing.

You warrant that you have the right to use the logos, names and images you send us, and that this use does not infringe the rights of others.

3. Prices

All prices are stated in Norwegian kroner (NOK) excluding value added tax (VAT), unless otherwise specified. Universe Profile AS reserves the right to adjust prices in the event of material changes in exchange rates, raw material prices or supplier prices. Any price changes are communicated before the order confirmation.

4. Payment

Standard payment terms are 14 days net from the invoice date. Customers who need more time for their own invoice handling can agree 30 days. New customers may be required to pay in advance or within a shorter period. Late payment incurs interest under the Norwegian Act on Interest on Overdue Payments. Reminder fees may apply under the Norwegian Debt Collection Act.

In the customer portal and when you accept a quote, you can also pay by card. Card payment goes through Stripe and the amount is charged immediately. Invoices are sent from our accounting system, Tripletex.

5. Delivery

Standard delivery time is 10 to 15 working days from the order confirmation, depending on product and the extent of decoration or print. Where we send a proof, the delivery time runs from your approval of it. If delivery is delayed beyond the estimated time, the customer will be notified as soon as possible. Universe Profile AS is not liable for delays caused by force majeure or circumstances beyond our control.

We deliver to Norway, Sweden and Denmark. Prices are in NOK. Outside Norway the goods are sold DAP (Incoterms 2020) without Norwegian VAT. The buyer is the importer and pays customs duty, import VAT and customs clearance.

6. Right of withdrawal

We sell only to businesses, teams, clubs and other legal entities, not to consumers. The Norwegian Right of Withdrawal Act and Consumer Purchases Act therefore do not apply.

7. Complaints

Visible defects must be reported in writing within 14 days of receipt. Hidden defects must be reported within a reasonable time after the buyer discovered or ought to have discovered them, and no later than two years after the goods were taken over, cf. section 32 of the Norwegian Sale of Goods Act. The complaint must describe the defect and include images where relevant. Universe Profile AS assesses the complaint and offers repair, replacement or a price reduction in accordance with applicable law.

8. Limitation of liability

The liability of Universe Profile AS is limited to the value of the order in question. We are not liable for indirect loss, consequential loss, lost profit or business interruption. This limitation does not apply in the event of intent or gross negligence.

9. Privacy

Universe Profile AS processes personal data in accordance with applicable data protection law (GDPR). For full information, see our privacy policy.

10. Disputes

These terms are governed by Norwegian law. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply. Any disputes arising in connection with these terms or orders from Universe Profile AS that cannot be resolved amicably shall be settled by Asker og Bærum District Court as the agreed venue.
